INVITATION FOR PRE-QUALIFICATION
PROVISION OF ENGINEERING, PROCUREMENT, AND SUPPLY OF STATIC AND DYNAMIC UMBILICALS FOR ZABAZABA AND ETAN DEVELOPMENT PROJECT (WP-6)

1. INTRODUCTION

NIGERIAN AGIP EXPLORATION (NAE) LIMITED as Operator of the Zabazaba field (PML 103) and Etan (PML 102) invites interested and reputable companies with relevant experience to indicate an Expression of Interest (EOI) for the Engineering, Procurement, Construction (EPC) services of Umbilical Systems for the Zabazaba and Etan development project. Zabazaba and Etan deepwater fields are located at about 140 kilometers offshore Nigeria in water depths of up to 2000 meters. The two fields are about 40km apart with a seafloor canyon between them. Development will be phased considering Zabazaba (PML103) first and then Etan (PML102).

The development concept is based on a new hub, with a standalone spread moored FPSO with nameplate oil processing capacity of 150 kbopd and 1.7 MMbbls (minimum) nominal storage capacity. The subsea network consists of subsea horizontal tree systems, manifold systems, production and water injection risers and flowlines including a gas export line.

The Zabazaba development will be through a deepwater subsea network consisting of 15 production and 7 water injection wells, 27km of production flowlines and risers, 15km of water injection flowlines and risers, 140km gas export pipeline and riser and a 40km umbilical system (note: lengths provide here are approximate and will be subject to respondents’ final field layout development).

The scope of this EPC for Umbilicals (WP-6), subject of this EOI request, includes the supply of static and dynamic umbilicals systems for control of production and water injection wells, manifold systems, gas lift systems etc.

NAE hereby invites only capable, reputable and competent Nigerian and qualifying International Companies (herein referred as “Respondents”) with the requisite and demonstrable expertise, experience, skilled manpower and technology to a response in accordance with this notice for expression of interest. Thereafter, for those companies meeting NAE requirements, shortlisting and inclusion in the bid list.

2. SCOPE OF WORK

The scope of work shall include but not limited to the design, engineering, procurement, fabrication, manufacturing and assembly, testing, integration, preservation, storage, loadout and provision of support for offshore hook-up, Installation, pre-commissioning and start up for the 40km of static and dynamic Subsea Umbilicals, including all appurtenances. It also includes project management and interface management within and across boundaries.

The Umbilical supply scope for Zabazaba and Etan developments are listed below. Zabazaba scope is the base case while Etan is optional to be triggered in accordance with the contractual terms.

All necessary spares needed for the Umbilical system will also be provided.

3. MANDATORY REQUIREMENTS

3.1 Confirm Company is registered in Nigeria and provide address of registered office in Nigeria and name of legal Entity; if Company is not registered in Nigeria, provide documentary evidence of a liaison/partnership with a Nigerian registered Company (if Respondent is not a Nigerian registered entity). If Respondent is a subsidiary of a Holding Company, provide Name and address of the Ultimate Holding Company, Respondent’s office for this work.

3.2 Provide copy of relevant and valid NUPRC registration certificate.

3.3 Provide Registration No & Category (include CAC Form C02 & C07 and NUPRC Permit and Corporate COREN Certificate).

3.4 Provide Valid Tax clearance for the past 3 years.

3.5 Provide evidence that the Company has performed and completed design and manufacturing of Dynamic and Static Steel Tube Umbilicals for a deepwater oil & gas project, at a minimum of 800m meters as a main contractor. Supply evidence to support this.

3.6 Provide evidence that the Company has performed and completed design and manufacturing of bundled gaslift umbilical systems for operation in water depth of minimum 800m as a main contractor. Supply evidence to support this.

Failure to submit any of the above documents, may result in the disqualification of the applicant.

4. PRE-QUALIFICATION REQUIREMENTS

In addition to the mandatory requirements above, only those Respondents able to demonstrate and substantiate with relevant verifiable documents of proven experience, available resources and readiness to undertake the work will be considered for the subsequent formal tendering phase. In consideration of this, the Respondents are required to provide together with the Mandatory Requirement as per paragraph 3 before, the evidence of the following.

4.1 TECHNICAL CAPABILITY & HSE MANAGEMENT

4.1 Provide evidence of Dynamic and Static Steel Tube Umbilicals for a deepwater oil & gas project designed, manufactured and installed at a minimum water depth of 800 meters and in operations on previous executed project within the last 10years by Respondent as OEM (Original Equipment Manufacturer). Provide the Umbilical cross sections, Umbilical size, components of the umbilicals and when the umbilicals were delivered.

4.1 Provide evidence of key challenges/lessons learnt in the execution of the deepwater umbilical scope as OEM for the above deepwater project(s) and how these challenges were successfully addressed and/or resolved.

4.1 Provide validity of Quality Management System in accordance with the requirements of ISO9001 and certified by ISO approved and registered quality assurance company.

4.1 Provide evidence of HSE Management System as implemented for the delivery of Dynamic and Static Umbilical system and for any similar projects executed in the past 10 years and the company interfaces with Subcontractors HSE system.

FINANCIAL CAPABILITY

4.1 Provide company’s audited financial statements for the last three (3) years. Please provide certified translations where accounts are published in a language other than English.

4.1 Provide financial statements of Operating Company and Ultimate Guarantor (e.g. Parent, holding companies etc.)

4.1 Have you previously received short term financing of up to US$250million? If yes, provide evidence.

4.1 Provide evidence of project finance plan for similar executed work showing the contract duration.

5. NIGERIAN CONTENT (NC) REQUIREMENTS

5.1. Mandatory NC Requirements for this Pre-Qualification

5.1. As part of this pre-qualification, Respondents shall provide a written confirmation, signed by an authorized representative, stating their “readiness to comply with applicable Nigerian Content Requirements as will be approved by NCDMB (during ITT) in line with the provisions of the NOGICD Act (2010) and applicable enablers from 2024 in line with the provisions of the NOGICD Act (2010), before being considered eligible to proceed from the ITT into Presidential Directives”, of this process.

5.1. Respondents shall provide % scope split in two parts: (1) showing work scope to be Commercial Phase of this process. (2) showing work scope to be executed/fabricated/manufactured/assembled in-country (Nigeria) against out-country scope.

These NC Requirements that will be mandatory at ITT Phase (Post-“PRE-QUALIFICATION”) include but not limited to all respondents:

5.2 Post Pre-Qualification NC Requirements

Respondent must ensure full compliance with the Nigerian Oil & Gas Industry Content Development Act (2010) except as authorized by NCDMB. Please note the following:

5.2. Respondents shall furnish details and support documentation of company ownership and shareholding structure. Also, clear photocopies of your registration on NOGICJQS.

5.2. Respondent shall domicile in-country through the utilization of Engineering Services Company (with COREN practicing license) registered engineering company in Nigeria to meet the minimum NC requirements agreed for the project.

5.2. Respondent shall have NCEC for Manufacturing and Related Activities (MS), and/or Procurement and Supplies (PS), and/or Fabrication & Construction for Umbilicals related scope of work.

5.2. Company must provide requisite NCEC for itself or partners or subcontractors to deliver related scopes of work under this project such as for Quality Inspection and Quality Control; Manufacturing/Assembly; Procurement and Supplies etc. “Nigerian registered partners/companies” being referred to above, must be companies with requisite technical capabilities and established experience as may be determined by the Board via existing NCDMB Certifications and record of execution of previous EPC projects in the oil and gas industry. Attempt to consider “briefcase” partners as a bypass means to fulfill local content requirements will be rejected by the Board.

5.2. Respondents shall commit to and ensure that they engage qualified and categorized Nigerian companies for the production and supply of anodes, steel ropes, steel plates, protective paints and coating, welding electrodes, electrical and instrumentation cables, panels, cable trays, ladders, gaskets, flanges, bends, PPE, bolts and nuts, valves, welding consumables and other goods, materials and equipment.

5.2. Respondents shall commit to and ensure the engagement of qualified and categorized Nigerian Companies to provide subcontracted services such as:

o Engineering Services
o 3rd Party Services Including NDT, Pressure testing services, Mechanical testing,
o Material Inspection, QA/QC services.
o Production of umbilical reels and transportation aids

5.2. Respondents must commit to and ensure offshore logistics support and marine services, – including but not limited to Support vessels – OSVs, PSVs, security, surfers, cargo barges etc. are provided by NCMVC certified vendors.

5.2. In accordance with the NOGICD act 2010 and Nigerian Content Marine Vessels Categorization (NCMVC) scheme, respondents shall give first consideration shall be given to Nigerian built / or owned vessels in the tender process and for contract award. Foreign flagged vessels are only to participate in the execution when there is no Nigerian owned vessel with capacity for such job. Respondent shall provide Nigerian content marine vessel categorization certificate (NCMVC) for the proposed vessel for the bid. Each Respondent’s NCMVC shall clearly specify the category/s in which the vessel/s has been registered.

5.2. Provide a project-specific organigram showing Names and Nationalities of all key personnel not limited to just key personnel that execute the work scope for this service. For any position to be occupied by Expatriate personnel, the tenderer shall commit to obtaining expatriate quota approval from NCDMB before project execution.

5.2. Provide written letter of commitment signed by an authorized representative, confirming readiness to: “Comply with NCDMB HCD Guidelines and execute such HCD Program as may be approved by NCDMB. Also confirm compliance with NCDF 1% deduction and remittance in line with Section 104 of the NOGICD Act.”

6.0 SUBMISSION OF PRE-QUALIFICATION PACKAGE

Companies interested in responding to the EOI shall be registered and active in NipeX Joint Qualification System (NJQS) database. The interested Companies are requested to submit, on or before 16.00 hours (GMT+1) on 20 July 2026, an email (using respondents email address registered on NipeX) to WP-6@nipex.com.ng stating their intention to participate, together with the provision of all information and supporting documentation required under Sections 3, 4 & 5.1 of this advert.

Submissions shall include detailed responses addressing the pre-qualification requirements and all relevant supporting materials as specified in the above-mentioned sections.

Only Respondents whose submissions are complete and fully compliant with all the requirements set out in Sections 3, 4 and 5 will be evaluated for the potential vendor list of the subsequent tendering phase.

7.0 ADDITIONAL INFORMATION

All suppliers eligible for this opportunity are expected to be prequalified and active in the NJQS.

7.0 All costs incurred in preparing and processing NJQS prequalification shall be to the respondents’ accounts.

7.0 This advertisement shall neither be construed as any form of commitment on the part of NAE to award any contract to any company and or associated companies, subcontractors or agents nor shall it entitle prequalified companies to make any claims whatsoever and/or seek any indemnity from NAE and or any of its partners by virtue of such companies having been prequalified in NJQS.

7.0 NAE will communicate only with authorised officers of the pre-qualifying companies and NOT through individuals or agents.
