1. BACKGROUND
The Federal Republic of Nigeria (FGN) has received Five Hundred Million United States Dollars (US$500 million) financing from the World Bank under the Distribution Sector Recovery Program (DISREP), through which the Bureau of Public Enterprises (BPE) will on-lend part of the proceeds to the Distribution Companies (DisCos) as a Shareholder loan to finance certain components of their Performance Improvement Plans (PIPs) prepared by the DisCos and approved by the Nigerian Electricity Regulatory Commission (NERC).

The financing will support contracts for:
a) Rehabilitation of Medium and Low Voltage Distribution Lines.
b) Rehabilitation and Expansion of Available Transformer Capacity.
Accordingly, Yola Electricity Distribution Company Plc, a licensed Electricity Distribution Company regulated by the Nigerian Electricity Regulatory Commission (NERC), invites qualified and reputable contractors to submit bids for eligible procurements under the DISREP PforR intervention.

2. SCOPE OF WORK
– Lot 1A: Procurement of Low Voltage (LV) Cables
– Lot 1B: Procurement of High Voltage (HV) Cables
– Lot 2: Procurement of Concrete Poles

Bidders may submit bids for one or more lots. Each lot will be evaluated separately.

3. ELIGIBILITY AND QUALIFICATION REQUIREMENT
Interested firms must demonstrate capacity and experience by submitting the following:

MANDATORY REQUIREMENTS
1. Certificate of Incorporation with the Corporate Affairs Commission (CAC) (Forms CAC 1.1 or CAC 2 & 7).
2. Evidence of Company’s Income Tax Clearance Certificate for the last three (3) years, valid till 31st December 2026.
3. Evidence of current Pension Compliance Certificate valid till 31st December 2026 (This requirement is only applicable to bidders whose number of staff is 15 and above).
4. Company’s/firm’s Audited financial statements for the last three (3) years (2023, 2024, 2025).
5. Evidence of VAT registration with TIN Number.
6. Evidence of Industrial Training Fund (“ITF”) Compliance Certificate valid till 31st December 2026 (this requirement is only applicable to bidders whose number of staff is 5 and above or the bidder’s annual turnover is N50m and above);
7. Evidence of Nigeria Social Insurance Trust Fund (NSITF) by inclusion of Certificate of Compliance valid until 31st December 2026.
8. Evidence of Registration on the National Database of Federal Contractors, Consultants, and Service Providers by submission of valid Interim Registration Report (IRR) expiring 31st December 2026 or valid Certificate issued by BPP.
9. Evidence of being a duly established LOCAL CABLE manufacturing company with proven technical capacity, manufacturing capability, and extensive industry experience in the supply of electrical cables and conductors (For Lot 1A & 1B ONLY);
10. Valid membership and certification issued by the Cable Manufacturers Association of Nigeria (CAMAN) (For Lot 1A & 1B ONLY);
11. Evidence of valid Nigerian Electricity Management Services Agency (NEMSA) Electric Concrete Pole Manufacturers Certificate. (For Lot 2 ONLY)
12. Evidence of duly established concrete pole Manufacturing Plant based in YOLA, ADAMAWA STATE with proven weekly output production capacity of 250 – 300 Poles ((For Lot 2 ONLY)
13. Statement of eligibility confirming no conflict of interest and compliance with Extant Regulations or Sworn Affidavit
a. disclosing whether or not any officer of the relevant committees of the Yola Electricity Distribution Company Plc or the Bureau of Public Enterprises (BPE) is a former or present director, shareholder or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars;
b. that no Director has been convicted in any country for any criminal offence relating to fraud or financial impropriety or criminal misrepresentation or falsification of facts relating to any matter.
c. that the company/firm is not in receivership, the subject of any form of insolvency or bankruptcy proceedings, or the subject of any form of winding up petition or proceedings.
d. that the company/firm does not have an existing loan or financial liability with a bank, other financial institution, or third party that is classified as doubtful, non-performance, bad, or whose repayment portion has been outstanding for the last four (4) months.

OTHER REQUIREMENTS
1. Evidence of financial capability to execute the project by submission of Reference Letter from a reputable commercial bank in Nigeria, indicating a willingness to provide credit facility for the execution of the project when needed.
2. Verifiable evidence of at least three (3) similar contracts executed in the past five (5) years, with supporting documents (Letters of Award, Valuation Certificates, Completion Certificates, etc.).
3. Proof of annual turnover of N250m and above.
4. Company profiles with details of key personnel including copies of their Academic/Professional qualifications.
5. Company’s signed Health, Safety, and Environment (HSE) policy and equipment.
6. Evidence of accreditation/registration with relevant professional bodies (COREN, NEMSA, NERC, SON, MAN, etc.)
7. Detailed delivery schedule plan.
8. Letter of undertaking that security issues would not be a challenge to work in Yola Electricity Distribution Company Areas of Franchise.

NOTE: All documents must be submitted under a covering letter on official company letterhead, showing RC number, contact address, email, phone number, and names/nationalities of directors. The letter must be signed by an authorised officer of the company.

4. COLLECTION OF TENDER DOCUMENTS
Prospective Bidders are required to collect the Bid Documents in person from the Procurement Department at YEDC Headquarters, No. 2 Atiku Abubakar Road, Jimeta-Yola, Adamawa State, Nigeria, upon presentation of evidence of payment of a non-refundable tender fee.
Alternatively, bidders may forward proof of payment to procurement@yedc.com.ng for confirmation by the YEDC Finance Team, after which the Bid Documents will be transmitted to them electronically.

5. SUBMISSION INSTRUCTIONS
Interested firms must submit their bids in sealed envelopes clearly marked: “Bid Submission – [Insert Project Title and Lot Number, e.g., Medium Voltage Distribution Line Rehabilitation – Lot 1]”
Submissions should include proof of payment of a non-refundable tender fee of N200,000.00 only per Lot.

6. NOTATION
a) The document should be arranged in the order listed at 3.0 above and clearly separated by dividers. Arrangement of technical documents in hard copies should follow the order in the list above and follow the appropriately paged the technical document should have a table of content indicating the pages which these items are to be found. Failure to comply with this directive will result in disqualification of bidder.
b) Failure to submit all the required documents stated above may lead to the disqualification of the Bid;
c) Late submissions will not be considered.
d) Only successful firms will be contacted and invited to negotiate and execute contracts.
e) Requests for clarification may be directed to the address above during office hours (08:00 – 17:00).
f) All CAC, PENCOM, ITF, NSITF and Tax Clearance Certificates submitted may be referred to Security Agencies, Corporate Affairs Commission (CAC), Nigerian Revenue Service (NRS), Industrial Training Fund (ITF), National Pension Commission and other relevant bodies for verification.
g) This notice shall not be construed to be a commitment on the part of Yola Electricity Distribution Company to award any form of contract to any respondent or entitle any Company/Firm submitting documents to claim any indemnity from the Company.
h) Bid documents shall be submitted in person and not through post. Any bid submitted through post shall not be accepted.
i) Bidders shall be responsible for all costs in preparation and submission of Bid;
j) Bidders are advised to read this solicitation carefully as failure to follow instructions may lead to rejection of bid.
k) If the Supplier is a joint venture, all of the parties shall be jointly and severally liable to the YEDC for the fulfilment of the provisions of the Contract and shall designate one party to act as a leader with authority to bind the joint venture. The composition or the constitution of the joint venture shall not be altered without the prior consent of the YEDC.
l) YEDC is not bound to pre-qualify any bidder and reserves the right to annul the Procurement process at any time without incurring any liabilities in accordance with Section 28 of the Public Procurement Act 2007.
