The aim of this RFP is to select the provider best suited to deliver the services outlined. The goal is to contract an accredited Life Insurance Company capable of offering comprehensive Group Life Insurance coverage to all GAIN NIGERIA employees. This coverage will extend for one year, providing a sum insured in the event of various circumstances including natural death, accidental death, suicidal death, death due to any illness, death due to pre-existing illness, which includes critical illness, murder, riot, natural calamities, as well as permanent disability, temporary total disability, medical expenses, burial expenses, death of staff, and more. Other benefits would include disappearance clause, pandemic/epidemic cover , strike , riot and civil commotion, automatic cover for new hire. Accordingly , eligible insurance companies are invited to submit proposals to GAIN, adhering to the specified requirements.

2.0 ELIGIBILITY REQUIREMENTS

Interested bidders should submit the following documents:
i. Evidence of Certificate of Incorporation issued by the Corporate Affairs Commission (CAC) including Form CAC1, or CAC2 and CAC7, Business Name is also acceptable for Services;
ii. Evidence of Company’s Income Tax Clearance Certificate (or Personal Income Tax Clearance Certificates of all the Partners in case of Business Name) for the last three (3) years valid till 31st December, 2026;
iii. Evidence of Pension Clearance Certificate valid till 31st December, 2026 (this requirement is only applicable to bidders whose number of staff is 15 and above);
iv. Evidence of Industrial Training Fund (ITF) Compliance Certificate valid till 31st December, 2026 (this requirement is only applicable to bidders whose number of staff is 5 and above or the Bidder’s annual turnover is N50m and above;
v. Evidence of Nigeria Social Insurance Trust Fund (NSITF) Clearance Certificate valid till 31st December, 2026;
vi. Evidence of Registration on the National Database of Federal Contractors, Consultants and Service Providers by submission of Interim Registration Report (IRR) expiring on 31st December, 2026 or valid Certificate issued by BPP.
vii. Sworn Affidavit disclosing:
a. whether or not any officer of the relevant committees of the Joint Admissions and Matriculation Board or the Bureau of Public Procurement is a former or present Director, shareholder or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars;
b. that no Director has been convicted in any Country for any criminal offence relating to fraud or financial impropriety or criminal misrepresentation or falsification of facts relating to any matter;
c. that the Company is not in receivership, the subject of any form of insolvency or bankruptcy proceedings or the subject of any form of winding up petition or proceedings;
d. that the company does not have existing loan or financial liability with a bank, other financial institution or third party that is classified as doubtful, non-performance, bad or whose repayment portion has been outstanding for the last four (4) months;
viii. Company’s Audited Accounts for the last three (3) years: 2023 – 2025;
ix. Reference Letter from a reputable commercial bank in Nigeria, indicating willingness to provide credit facility for the execution of the project when needed;
x. Company’s Profile with personally endorsed Curriculum Vitae of Key Staff to be deployed for the project, including copies of their Academic/Professional qualifications;
xi. Verifiable documentary evidence of at least three (3) similar jobs (in size, nature & complexity) executed in the last five (5) years including Letters of Awards, Valuation Certificates, Job Completion Certificates and Photographs of the projects. Note: The Board will conduct physical verification of similar jobs;
xii. For Insurance Brokers, bidders must provide evidence of:
(a) Valid Operational License Certificate issued by NAICOM;
(b) current annual Practice Licence issued by NAICOM;
(c) Valid and current professional indemnity policy with limit of indemnity not less than N10 million for protection against wrong advice
xiii. For Underwriters, bidders must provide evidence of:
(a) Operational License issued by NAICOM,
(b) Valid and adequate re-insurance Treaty arrangement and;
(c) Certified True Copy of Audited Accounts for the last three (3) years: 2023 – 2025 approved by NAICOM
xiv. For Joint Venture/Partnership, Memorandum of Understanding (MoU) should be provided indicating among others the Lead Partner, CAC, Tax Clearance Certificate, Pension Clearance Certificate, ITF Compliance Certificate, NSITF Clearance Certificate, IRR & Sworn Affidavit are compulsory for each JV partner;
xv. For Provision of cleaning Services (Lots C3 to C9) bidders must provide evidence of 2026 Annual Renewal with Environmental Health Officers Registration Council of Nigeria;
xvi. 1. INTRODUCTION:
The following Chevron companies in Nigeria; CHEVRON NIGERIA LIMITED (“CNL”), operator of the Nigerian National Petroleum Corporation Limited (NNPC Ltd)/CNL Joint Venture, Star Deep Water Petroleum Limited (“SDWPL”), operator of the Agbami field on behalf of its partners (NNPC Limited, FAMFA Oil Limited, Meren Nigeria 52 Limited, Chappal Energy Offshore Limited, and Texaco Nigeria Outershelf Limited) jointly referred to in this publication as “insured” invites interested and reputable Insurers with competent and skilled personnel, equipment and relevant experience to apply for pre-qualification for consideration to tender for the Provision of Insurance services for CNL/EGTL/SDWPL operations.

The proposed contract commencement is 2nd Quarter, 2027, with a proposed term of five (5) years with two (2) years option to extend.

2. SCOPE OF WORK:
The Scope to be covered under the contract is to provide insurance programme for the following operational coverage/services:
• CNL/NNPC JV General Third-Party Liability
• SDWPL Operational Insurance – Property Damage, Operator’s Extra Expense, and Third-Party Liability
• EGTL Operational Insurance – Property Damage, Operator’s Extra Expense, and Third-Party Liability
• Naira Denominated Policies – Combined Group Life Assurance and Group Personal Accident Insurance, Comprehensive Motor Insurance, House Owner’s Insurance, Marine Cargo Insurance.

In addition to providing insurance coverage, the successful insurer(s) shall be responsible for the following key activities:
• Policy Administration: Preparation, issuance, and maintenance of all policy documentation in accordance with contractual requirements and applicable regulations
• Claims Management: Efficient and timely administration, investigation, and settlement of claims, ensuring transparent communication with all stakeholders.
• Regulatory Compliance: The (Lead) Insurer shall obtain and provide evidence of the National Insurance Commission (NAICOM) Approval-in-Principle (AIP), confirming that all available in-country insurance capacity has been fully utilized prior to any reinsurance placement with international underwriters.
• Reporting and Coordination: Periodic reporting on policy performance, claims status, and compliance with contractual and regulatory obligations, as may be required by OPERATOR.

3. MANDATORY TENDER REQUIREMENTS:
A. To be eligible for this tender exercise, interested bidders are required to be pre-qualified and “live” in the 3.14.05 & 3.14.07 (Life and Non-Life Insurance Services) Categories A and B in NJQS database. 4. NIGERIAN CONTENT REQUIREMENTS
CNL/SDWPL is committed to the development of the Nigerian Oil and gas business in compliance with the Nigerian Content Act 2010 for Nigerian Content Development.

As from the commencement of this Act, the minimum Nigerian Content in any project, service or product specification to be executed in the Nigerian oil and gas industry shall be consistent with the level set in the Schedule of the Act and any other targets as may be directed by the Nigerian Content Development and Monitoring Board (The Board)

2.0 SCOPE OF SERVICES
CATEGORY A – INSURANCE UNDERWRITING SERVICES
Interested Insurance Underwriters are invited to submit pre-qualification documents for the provision of insurance coverage under the following Lots:
Lot A1: Group Life Assurance
Lot A2: Comprehensive Motor Insurance

CATEGORY B – TAX CONSULTANCY SERVICES
Tax Consultancy Services
The engagement shall cover the provision of professional tax advisory and compliance services to support NDPHC in maintaining appropriate tax standing and meeting its applicable statutory tax obligations. The scope shall include, but not be limited to:
a. Provision of professional advice on applicable Federal and State tax laws, regulations and statutory tax obligations;
b. Review and support in the preparation and filing of applicable tax computations, returns and other statutory tax submissions;
c. Review of NDPHC’s tax positions and transactions to ensure compliance with applicable tax legislation;
d. Advisory and compliance support in respect of applicable taxes, duties and levies;
e. Support during tax audits, investigations, reconciliation exercises and engagements with relevant tax authorities;
f. Provision of professional advice on changes in tax legislation, regulations, circulars and fiscal policies and their implications for NDPHC’s operations;
g. Such other related tax advisory and compliance services as may be required by NDPHC.

3.0 ELIGIBILITY REQUIREMENTS: Interested firms shall submit the following documents:
3.1 GENERAL REQUIREMENTS APPLICABLE TO ALL BIDDERS
a. Evidence of Certificate of Incorporation issued by the Corporate Affairs Commission (CAC), including Forms CAC2 and CAC7 (or CAC 1.1);

i. Company Profile, including Curriculum Vitae (CV) of key personnel proposed for the assignment and copies of relevant professional and academic qualifications;
j. Verifiable documentary evidence of at least three (3) similar assignments executed within the last five (5) years, supported by Letters of Award/Engagement and evidence of satisfactory execution;
k. For Joint Venture/Partnership arrangements, a Memorandum of Understanding (MoU) clearly stating the respective responsibilities of the parties shall be provided. Relevant statutory compliance documents shall be submitted for each JV partner, as applicable.

3.2 ADDITIONAL REQUIREMENTS FOR INSURANCE UNDERWRITERS – CATEGORY A
In addition to the general requirements stipulated under Section 3.1 above, bidders applying under Category A shall submit:
a. Valid operational license issued by the National Insurance Commission (NAICOM) authorizing the bidder to undertake the relevant class(es) of insurance or Takaful business, as applicable;
b. Company’s NAICOM-approved Audited Accounts for the last three (3) years – 2023, 2024 and 2025;
c. Evidence of compliance with the applicable minimum capital and other prudential requirements prescribed by NAICOM for the relevant class(es) of insurance or Takaful business, as applicable;
d. Evidence of compliance with applicable solvency requirements prescribed by NAICOM;
e. Evidence of valid and adequate reinsurance treaty or Retakaful arrangements, as applicable, relevant to the class of insurance/Takaful business for which the bidder is applying;
f. Evidence of suitably qualified full-time personnel with cognate experience in the relevant class(es) of insurance;
g. Evidence of verifiable operational/office address in Nigeria;
h. Statement signed by the Company’s Chief Executive Officer confirming its staff strength and operational locations.

For the avoidance of doubt, Takaful Insurance Companies shall be eligible to participate in Lot A2 – Comprehensive Motor Insurance ONLY and shall not submit bids for any other Lot under Category A.

Insurance Underwriters shall be evaluated having regard to their regulatory standing, capital and solvency position, reinsurance arrangements, relevant underwriting capacity, technical personnel and demonstrated experience in the applicable class(es) of insurance.

For Lot A2 – Comprehensive Motor Insurance, eligible conventional Insurance Underwriters and Takaful Insurance Companies shall be evaluated against the applicable regulatory and prudential requirements prescribed by NAICOM for their respective operating models, in addition to the common technical requirements applicable to the Lot.

3.3 ADDITIONAL REQUIREMENTS FOR TAX CONSULTANTS – CATEGORY B
In addition to the general requirements stipulated under Section 3.1 above, bidders applying under Category B shall submit:
a. Evidence of registration/accreditation of the firm with the relevant recognized professional body for the provision of tax consultancy services in Nigeria, where applicable;
b. Evidence of current professional practicing license/certificate of the firm and/or lead Tax Practitioner, as applicable;
c. Evidence that key personnel proposed for the assignment possess relevant professional qualifications and membership of recognized taxation and/or accountancy professional bodies;
d. Firm profile demonstrating cognate experience in corporate taxation, tax advisory and statutory tax compliance;
e. Verifiable evidence of experience in handling tax audits, investigations, reconciliations and engagements with relevant Federal and State tax authorities;
f. Evidence of successful execution of at least three (3) similar tax consultancy assignments for corporate organizations within the last five (5) years;
g. Detailed Curriculum Vitae (CV) of key professional personnel proposed for the assignment demonstrating relevant experience in taxation, accounting, tax compliance and related advisory services.

Tax Consultants shall be evaluated having regard to their professional standing, relevant qualifications, depth of tax advisory and compliance experience, experience with corporate organizations, demonstrated understanding of the Nigerian tax environment, relevant similar assignments and competence of the proposed key personnel.

– Naira Denominated Policies – Combined Group Life Assurance and Group Personal Accident Insurance, Comprehensive Motor Insurance, House Owner’s Insurance, Marine Cargo Insurance.

Project Delivery Schedule
The schedule requirement is to have a contract in place by Q4 2026. The Call for Tender will detail the provisions necessary for the Service. Contract duration is estimated at 5 years firm and an annual option of extension for a further period of two (2) years.

HSE Considerations
The greatest importance is placed on prospecting Contractor’s Safety performance and past records. The Tenderers will be required to complete at the technical stage, a HSE Questionnaire and submit with its Technical Tender, a comprehensive HSE Management System manual among other documents. The analysis of the HSE requirement will contribute to progressing selected Tenderers in the CFT process. Any Tenderer that scores below 60% in the HSE/QA/QC & Tech Main Evaluation would not be allowed to progress to the Commercial Stage.

Conditions For Selection
Insurance Company seeking to be selected must satisfy the following conditions:
1. Be a Limited Liability Company registered in Nigeria and licensed by the National Insurance Commission (NAICOM) to transact Insurance Business.
2. Have a net asset of not less than N10billion and N15billion for Life and Non-Life (General) Insurance Business respectively.
3. Have acquired good experience in Oil and Gas Insurance business.
4. Have adequate and qualified staff with experience in Oil and Gas Insurance business.
5. Must be in good standing as regards prompt settlement of all claims reported to date.
6. Have good re-insurance strategy, including use of A-rated re-insurance companies.
7. Have business relationship with competent Insurance Broker(s) with good reputation and experience in Oil and Gas Insurance business.
8. Must be a good corporate citizen of Nigeria that pays its taxes as and when due.

3. MANDATORY REQUIREMENTS
– To be eligible for this tender exercise, interested suppliers are required to be pre-qualified and have a “LIVE” subscription status in the following NIJQS service/product group in the Life and Non-Life Categories (3.14.05 & 30.14.07) by the CFT advert closing date. All successfully pre-qualified suppliers in these categories will receive an invitation to submit their Technical Tender (ITT) for the services.
– To determine if you are pre-qualified and view the product/services category you are listed for: visit https://vms.nipex.org/login and access NIJQS with your log in details. Click on the ‘Subscription’ tab on the left-hand side of the dashboard to view your status and, click “Product Code” tab to view registered product codes.
– If you are not listed in the product/service category mentioned above but you have registered with the Nigerian Upstream Petroleum Regulatory Commission (NUPRC) to do business in the Nigerian Oil & Gas Industry in those areas, please contact the NipeX administration office at Post Square Towers (Building B), 1-3 Ologun Agbaje Street Off Adeola Odeku Street, Victoria Island, Lagos, Nigeria with your NUPRC (formally DPR) certificate as evidence for verification and necessary update.
– To initiate the NIJQS pre-qualification process, access http://www.nipex-ng.com, click on the Registration tab, and select NipeX SAP Ariba Vendor Registration.
– To be eligible, all tenderers must comply with the Nigerian content requirements in the NipeX system.
– Only Nigerian indigenous service companies having verifiable Nigerian equity shareholding of 51% and above shall submit bids for this tender.

4. NIGERIAN CONTENT REQUIREMENTS
TUPNI/TEPNG is committed to the development of the Nigerian Oil and gas business in compliance with the Nigerian Content Act 2010 for Nigerian Content Development.
As from the commencement of this Act, the minimum Nigerian Content in any project, service or product specification to be executed in the Nigerian oil and gas industry shall be consistent with the level set in the Schedule of the Act and any other targets as may be directed by the Nigerian Content Development and Monitoring Board (The Board).
Tenderer shall comply with all the provisions of the Nigerian Content Act that relate to this contract but in particular comply with the minimum Nigerian Content % for the scopes which are covered in the Schedule of the Act and any other requirement that may arise from time to time not explicitly stated in this contract, but which apply to the contract in fulfilment of the Nigerian Content Act, in the submission of their Tender.
Failure to fully comply with the Nigerian Content Act or demonstrate commitment to Nigerian Content Development Policy of the Nigerian government shall result to disqualification from bidding this contract.
Tenderers shall provide evidence of Registration by National Insurance Commission (NAICOM).
As part of their submissions, Tenderer shall:
I. Demonstrate that entity is a Nigerian-registered company with 51% or more shareholding capacity. Submit copies of Certificate of Incorporation obtained from the Corporate Affairs Commission (CAC) and Status report generated within three (3) months of bid submission. Tenderer shall provide evidence of registration with the NCDMB NOGIC JQS and NUPRC.
II. Demonstrate detailed description of the location of in-country committed facilities & infrastructure (not limited to administrative office, project management office) in Nigeria to support this contract.
III. Provide evidence of a License issued by National Insurance Commission (NAICOM) as an Insurer to transact Insurance business.
IV. Provide corporate organizational and project/contract specific organograms showing the names and nationalities of key personnel, as well as the percentage of the total workforce that are Nigerians.
V. Provide evidence of what percentage of your key management positions is held by Nigerians.
VI. Detail the overall percentage and explicit breakdown of the scope of work to be performed in Nigeria and those by Nigerian resources relative to total work volume.
NOTE: Failure to comply with the provision of the Nigerian Content Act 2010 or to demonstrate commitment to the development of the Nigerian Content Policy shall result in the disqualification of the tenderer from the bidding process.
