4. ELIGIBILITY REQUIREMENTS
Prospective bidders should submit the following:
a. Evidence of Certificate of Incorporation issued by the Corporate Affairs Commission (CAC) including Form CAC 1.1 or CAC 2 and CAC 7 or Status Report.
b. Evidence of Company’s Income Tax Clearance Certificate for the last three (3) years 2023, 2024 & 2025 valid till 31st December, 2026 with a minimum average annual turnover of N20 million only.
c. Evidence of Pension Clearance Certificate valid till 31st December, 2026 (these requirements is only applicable to bidders whose number of staff is 5 and above).
d. Evidence of Industrial Training Fund (ITF) Compliance Certificate valid till 31st December, 2026 (these requirements is only applicable to bidders whose number of staff is 5 and above or the bidder’s annual turnover is N50 million and above).
e. Evidence of Nigeria Social Insurance Trust Fund (NSITF) Clearance Certificate valid till 31st December, 2026.
f. Evidence of Registration on the National Database of Federal Contractors, Consultants and Service Providers by submission of Interim Registration Report (IRR) expiring on 31st December, 2026 or valid Certificate issued by Bureau of Public Procurement (BPP).
g. Evidence of Ownership or Memorandum of Understanding for the Lease of Plants, Machineries and Equipment for Operations (applicable to S/No: 2, LOT 2 only).
h. Sworn Affidavit from High Court or Court of Coordinate Jurisdiction.
i. Disclosing whether or not any officer of the relevant Committees of the University of Port Harcourt, Choba, Port Harcourt, Rivers State or the Bureau of Public Procurement is a former or present Director, shareholder or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars.
ii. That no Director of the company has been convicted in any Country for any criminal offence relating to fraud or financial impropriety or criminal misrepresentation or falsification of facts relating to any matter.
iii. That the Company is not in receivership, the subject of any form of insolvency or bankruptcy proceedings or the subject of any form of winding up petition or proceedings.
iv. That the Company does not have existing loan or financial liability with a bank, other financial institution or third party that is classified as doubtful, non-performance, bad or whose repayment portion has been outstanding for the last four (4) months.
i. Company Audited Accounts for the last three years 2023, 2024 and 2025 duly acknowledged by NRS.
j. Reference Letter from a reputable Commercial bank in Nigeria, indicating willingness to provide credit facility for the execution of the projects if the need arises.
k. Provision of current Bank Statement showing a minimum balance of 50% of the afore-said average minimum turnover.
l. Company’s Profile with the Curriculum Vitae of Key Staff to be deployed for the project, including copies of their Academic/Professional qualifications such as COREN, QSRBN, ARCON, CORBON etc.,
m. Verifiable documentary evidence of at least three (3) similar jobs executed in the last five (5) years (2021 to date) including Letters of Awards, Valuation Certificates, Job Completion Certificates and Photographs of the projects.
n. For Joint Venture/Partnership, Memorandum of Understanding (MoU) should be provided indicating among others the Lead Partner (CAC, Tax Clearance Certificate, Pension Clearance Certificate, ITF Compliance Certificate, NSITF Clearance Certificate, IRR and Sworn Affidavit are compulsory for each Joint Venture Partner).
o. Evidence of Original Equipment Manufacturers (OEM) Certificate from Manufacturers or Letter of Authorization from Representative(s) in Nigeria (applicable to S/No: 2, LOT 2 only).
p. All documents (Both Technical and Financial Bids) for submission must be transmitted with a Covering/Forwarding Letter under the Company/Firm’s Letterhead Paper bearing amongst others; the Registration Number (RC) as issued by the Corporate Affairs Commission (CAC), Contact Address, Telephone Number (preferably GSM NO.), and E-mail Address. The Letterhead Paper must not bear the Names and Nationalities of the Directors of the Company at the bottom of the page, duly signed by the authorized officer of the firm.

1. Introduction
The Institute of Human Virology, Nigeria (IHVN) is a leading local non-governmental organization implementing HIV/AIDS, Tuberculosis, Malaria, Research, and non-communicable disease projects in Nigeria through the development of infrastructure for treatment, care, prevention, and support for people living with and those affected by these diseases.

2. Background
IHVN was established in 2004 as a local organization to address the HIV/AIDS crisis in Nigeria through the development of infrastructure for treatment, care, prevention, and support for people living with those affected by HIV/AIDS but has now expanded its services to other infectious diseases of TB and malaria, including cancers. IHVN is structured to develop and maintain linkages with local and international organizations in collaborative ways that support the Government of Nigeria’s health sector strategic plans. IHVN’s key technical and funding partners include the Centers for Disease Control and Prevention (CDC) and the Global Fund to Fight AIDS, Tuberculosis, and Malaria.

3. Scope of Bid
Bidders are invited to submit a Bid for the goods and/or services specified above, in accordance with the schedule of requirements.

4. Invitation to Bid
IHVN is soliciting interest from reputable bidders and organizations with relevant experience in carrying out services listed on our ITB during the project implementation period.
To be eligible to participate in the bidding process, interested organizations are required to provide the following information:
The following will constitute the pre-selection criteria on a Yes or No basis:
• Availability of a Company Profile which should introduce your experience in line with the details of your CAC Memorandum and Articles of Association.
• All Bidders must include copies of FIRS tax clearance certificates for the past three years i.e., 2023, 2024 & 2025.
• Availability of audited financial statements for the last 3 years i.e., 2023, 2024 & 2025.
• All bidders must provide verifiable documentary evidence of the execution of at least three (3) Contracts for Supply of Clinical items, two of which must have been in the last five (5) years. Copy of award letters and delivery certificate where applicable are to be enclosed.
• All bidders must provide proof of Certificate of Incorporation with the Corporate Affairs Commission (CAC), including Form CAC2 and CAC7.
• Bank Reference Letter addressed to IHVN for the purpose of this bid.
• Current Sworn Affidavit certifying as follows:
• The company is not in receivership, subject to any form of insolvency or bankruptcy proceedings or the subject of any form of winding up petition or proceedings.
• The company does not have any director who has been convicted by any court in Nigeria and any other country for criminal offences in relation to fraud or financial impropriety or criminal misrepresentation or falsification of facts relating to any matter.

(c) Evidence of payment of tax by the company for the immediate past 3years (i.e. 2023, 2024, 2025)
(d) Company’s audited financial account (indicating turnover) and funding information over the past 3 years endorsed by a firm of chartered accountants. (i.e. 2023, 2024, 2025)
(e) Company profile which should include:
I. Names of current directors as registered with CAC
II. Names, qualification and experience of key personnel and copies of their professional certificates.
(f) Evidence of previous/similar work done in the past three (3) years showing the following:
I. Letter of award of the previous work done
II. Completion certificate obtained from previous work done
(g) Asworn affidavit indicating that:
I. None of the Directors of the Company has been convicted in any court for any criminal offence including fraud and financial impropriety.
II. The Company is not in receivership, insolvent or bankrupt.
III. No officer of Edo State Waste Management Board is a former or present Director, shareholder or has any pecuniary interest in the company.

f. Evidence of Registration on the National Database of Federal Contractors, Consultants and Service Providers by submission of Interim Registration Report (IRR), expiring on 31st December 2026 or valid Certificate issued by BPP.
g. A Sworn Affidavit:
– disclosing whether or not any officer of the relevant committees of the National Pension Commission or the Bureau of Public Procurement is a former or present Director, shareholder or has any pecuniary interest in the bidder and to confirm that all information presented in its bid are true and correct in all particulars;
– that no Director has been convicted in any Country for any criminal offence relating to fraud or financial impropriety or criminal misrepresentation or falsification of facts relating to any matter;
– that the Company is not in receivership, the subject of any form of insolvency or bankruptcy proceedings or the subject of any form of winding up petition or proceedings; and
– that the Company does not have existing loans or financial liability with a bank, other financial institution or third party that is classified as doubtful, non-performance, bad or whose repayment portion has been outstanding for the last four (4) months;
h. Company’s Audited Accounts for the last three (3) years – 2023, 2024 & 2025;
i. Reference Letter from a reputable commercial bank in Nigeria, indicating willingness to provide credit facility for the execution of the project when needed;
j. Company’s Profile with the Curriculum Vitae of Key Staff to be deployed for the project, including copies of their Academic/Professional qualifications;
k. Verifiable documentary evidence of at least three (3) similar jobs executed in the last five (5) years, including Letters of Award, Valuation Certificates, Job Completion Certificates and Photographs of the projects;
l. For Joint Venture/Partnership, Memorandum of Understanding (MoU) should be provided indicating among others the Lead Partner (CAC, Tax Clearance Certificate, Pension Clearance Certificate, ITF Compliance Certificate, NSITF Clearance Certificate, IRR & Sworn Affidavit are compulsory for each JV partner).
m. All documents for submission must be transmitted with a Covering/Forwarding letter under the Company/Firm’s Letter Head Paper bearing amongst others, the Registration Number (RC) as issued by the Corporate Affairs Commission (CAC), Contact Address, Telephone Number (preferably GSM No.), and e-mail address. The Letterhead Paper must bear the Names and Nationalities of the Directors of the Company at the bottom of the page, duly signed by the authorised officer of the firm.
